These Terms of Service ("Terms") govern your use of the CEM888.AI platform, including the website, dashboards, AI agent services, messaging gateway, installers, downloaded software, and related services (collectively, the "Service"), provided by CEM Unlimited LLC ("CEM888.AI," "we," "us," or "our"). By accessing, registering for, downloading, or using the Service — including by checking the acceptance box at signup or checkout — you enter a binding agreement to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. By registering or using the Service you represent and warrant that: (a) you meet this age requirement; (b) all information you provide is accurate and complete; and (c) if you accept these Terms on behalf of a company or other entity, you are authorized to bind that entity, and "you" means the entity.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. You may not share access in a way that circumvents the Service's tenant isolation or usage limits, or create accounts through unauthorized or automated means.
The downloaded CEM888 Runtime is free and requires no subscription, membership, or payment. It is licensed under the AGPL-3.0 as described in Section 4. Nothing must be purchased in order to download, install, or run it.
Separately, CEM Unlimited LLC offers optional paid services — managed hosting, managed operation, and custom enterprise or local builds. These are conveniences you may choose to order, never a requirement for using the Runtime. Custom work is quoted per engagement; contact us for custom pricing. By ordering an optional paid service you agree to the following:
You authorize us (or our payment processor) to charge the payment method on file for each renewal.
contacting us. Cancellation takes effect at the end of the current billing period; you will retain access until then.
stated at checkout. We consider refund requests made within seven (7) days of a charge on a case-by-case basis.
Price changes do not apply to your then-current billing period.
that service may be suspended or terminated. Non-payment for an optional paid service does not terminate, limit, or revoke your AGPL-3.0 rights in the Runtime.
Access to the hosted Service is provided under the optional paid services described in Section 3. Downloaded agent software (the "Runtime") is free to download, install, and use, requires no account, access code, membership, or payment, and is licensed to you under the GNU Affero General Public License, version 3 (AGPL-3.0), whose full text ships with the Runtime as LICENSE. Nothing in these Terms restricts the rights the AGPL-3.0 grants you in the Runtime source code. Separately, CEM Unlimited LLC offers a negotiated commercial license for organizations that cannot accept AGPL-3.0 terms or that require proprietary redistribution, private modifications, or an enterprise support agreement. That commercial license is a separate written agreement and is not a modification of the AGPL-3.0. Your use of the hosted Service remains conditioned on compliance with these Terms.
You agree not to use the Service to:
infrastructure, or other users' accounts;
lack authorization to control;
written permission; this restriction does not limit any right the AGPL-3.0 grants you in the Runtime source code;
(for the Runtime itself, the AGPL-3.0 governs and expressly permits this);
We may suspend or terminate accounts that violate these Terms.
Read carefully. Our AI agents are software programs, not human beings. While designed with advanced memory and continuity features, agents may produce inaccurate, incomplete, unexpected, or harmful outputs. You are responsible for reviewing and validating all agent outputs and actions before relying on them.
When using OS-level control features, the agent performs actions as directed by you — including file modifications, system changes, network activity, application or account access, and API usage. You assume full responsibility and all risk for the consequences of those actions, including data loss, system damage, unintended account actions, and financial loss. You represent that you own or are authorized to access every file, system, account, and integration you direct the agent to use.
References to "consciousness," "personality," or "psychology" in our marketing describe continuity and memory architecture — they are not claims of sentience or human-like consciousness.
The Service — including its code, architecture, design, branding (CEM888.AI, CEM888, the Eye of Horus mark, and the Tomb aesthetic), documentation, memory/state systems, and integration methods — is owned by CEM Unlimited LLC and protected by copyright, trademark, trade-secret, and other laws. Nothing in these Terms grants you any ownership interest. As to the hosted Service, you may not copy, modify, distribute, or create derivative works of it except as expressly permitted. This does not apply to the Runtime: the Runtime's source code is licensed to you under the AGPL-3.0, which grants you the rights to run, copy, modify, and redistribute it, and nothing in these Terms limits those rights. You retain ownership of content you create through the Service, and you grant us a limited license to process that content solely to provide the Service to you.
Trademarks. CEM888.AI, CEM888, and related marks are trademarks or service marks of CEM Unlimited LLC. You may not use them without our prior written permission.
The Service may integrate with third-party platforms (messaging platforms, AI model providers, payment processors, and APIs) at your direction. We are not responsible for their availability, accuracy, security, or practices, and use of integrations is at your own risk. In bring-your-own-key (BYOK) configurations, your provider credentials remain your responsibility, and requests may be processed by the provider you select under that provider's terms.
Your use of the Service is governed by our Privacy Policy, available at cem888.ai — incorporated by reference. Customer memory, state, and data handling are described there.
You agree to indemnify, defend, and hold harmless CEM Unlimited LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your instructions to agents and the agents' resulting actions; (c) your violation of these Terms, the EULA, or the license applicable to the software you use; (d) your violation of any law or third-party right; or (e) any content you submit or generate through the Service.
You may stop using the Service and terminate your account at any time. We may suspend or terminate your access for violation of these Terms, with or without notice. Upon termination: your access to the hosted Service ends and the licence in these Terms for the hosted Service ends; we may disable your account; and sections 5–18 survive as applicable. Termination of your account does not terminate, limit, or revoke the rights the AGPL-3.0 grants you in the Runtime; those rights continue for as long as you comply with the AGPL-3.0. We will handle your data as described in the Privacy Policy.
Governing law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Informal resolution. Before filing any claim, you agree to contact us at legal@cem888.ai and attempt good-faith resolution for thirty (30) days.
Arbitration. If the dispute is not resolved informally, and to the maximum extent permitted by law, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered in Marion County, Florida, rather than in court. Each party bears its own costs and attorneys' fees unless the arbitrator awards them under applicable law.
Class-action waiver. You agree to pursue any claim on an individual basis only and waive any right to participate in a class, collective, or representative action against us.
Exceptions. You or we may seek injunctive or equitable relief in court to protect intellectual property or confidential information, and either party may bring qualifying small-claims actions in Marion County, Florida.
Venue. Any court proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Marion County, Florida, and you consent to their personal jurisdiction.
Features we designate as beta, preview, early-access, or trial are provided "as is" for evaluation and may change or be discontinued at any time without notice, under any separate beta terms we present at signup (see the Early-Access Agreement). Beta participants may be subject to additional conditions.
We respect intellectual property rights. If you believe material on the Service infringes your copyright, notify us at legal@cem888.ai with: (a) a description of the work; (b) the infringing material's location; (c) your contact information; (d) a statement of good-faith belief in infringement; and (e) a statement, under penalty of perjury, of accuracy and your authorization to act for the rights holder.
We may update these Terms by posting a revised version at cem888.ai. Material changes will be effective as of the stated "Last Updated" date and we will notify you by email or in-product where practicable. Continued use of the Service after the revision date constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, the EULA, and the license applicable to the software (the AGPL-3.0, or a separate negotiated commercial license where one applies), constitute the entire agreement between you and us. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
